Model Release Agreement

This Model Release Agreement (the "Agreement") is entered into between LCNTechnologies LLC (the "Company") and the Webcam Model (the "Influencer") regarding the use of the Company's live video broadcasting platform ("LiveCamNetwork.com") and partnering websites. By signing up to this service you agree to the following:

1. Eligibility:

   The Webcam Model represents and warrants that they are at least 18 years of age and have the legal capacity to enter into this Agreement. The Webcam Model acknowledges that providing a valid government-issued photo identification (ID) is a prerequisite for approval to use the Platform.

2. Account Approval and Termination:

   The Company reserves the right to approve or deny an Webcam Model's application to use the Platform at its sole discretion. The Webcam Model acknowledges that the Company may cancel their account at any time, without prior notice or reason.

3. Compensation:
   1. Commissions:

      The Webcam Model shall be entitled to receive commissions for their live video broadcasts on the Platform, as determined by the Company's commission structure.

   2. Payment Schedule:

      The Company will make payment to the Webcam Model every two weeks by wire transfer, subject to the Webcam Model's provision of accurate payment details.

   3. Deductions:

      The commissions owed to the Webcam Model shall be subject to deductions, including but not limited to wire transfer fees, accounting fees, and penalties or chargebacks related to those chargebacks. The Webcam Model agrees to bear the responsibility for any such deductions as determined by the Company.

4. Changes to Agreement:

   The Webcam Model acknowledges and agrees that this Agreement is subject to change without notice. The Company may modify, amend, or update the terms and conditions of this Agreement at its sole discretion. The Webcam Model's continued use of the Platform after any changes constitutes their acceptance of the modified Agreement.

5. Intellectual Property:

   The Webcam Model grants the Company a non-exclusive, royalty-free, worldwide, irrevocable license to use, reproduce, distribute, publicly display, and modify any content created or provided by the Webcam Model during their live video broadcasts on the Platform, including but not limited to videos, images, and text.

6. Representations and Warranties:

   1. The Webcam Model represents and warrants that they have the necessary rights, licenses, and permissions to use any third-party content incorporated into their live video broadcasts and that their broadcasts will not infringe upon any third-party rights.

   2. The Webcam Model represents and warrants that they will comply with all applicable laws, regulations, and guidelines while using the Platform, including but not limited to laws relating to copyright, privacy, defamation, and obscenity.

7. Indemnification:

   The Webcam Model agrees to indemnify and hold the Company, its affiliates, officers, directors, employees, and agents harmless from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising out of or related to the Webcam Model's use of the Platform, breach of this Agreement, or violation of any law or third-party rights.

8. Governing Law and Jurisdiction:

   This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].

9. Entire Agreement:

   This Agreement constitutes the entire understanding between the Parties and supersedes any prior agreements, whether written or oral, relating to the subject matter herein.
